BAT Kenya announces Board leadership changes amid tax controversy

Along with Joubert's exit, Sidney Wafula, who has served as an Alternate Director since June 24, 2020, will also step down from the Board.
BAT Kenya has announced major changes to its Board of Directors that will take effect on March 31, 2025.
In a notice issued on Saturday, the cigarette manufacturer revealed that director André Joubert has resigned after expressing his wish to exit the company.

"André was appointed on May 28, 2020, and has communicated his desire to pursue other interests and opportunities outside the BAT Group. During his tenure, André demonstrated unwavering dedication, commitment, and passion to drive the success of the Company," said BAT Kenya.
"The Board conveys its sincere gratitude to André for his sustained and exemplary contribution to the Company and wishes him the very best in his future endeavors."
Along with Joubert's exit, Sidney Wafula, who has served as an Alternate Director since June 24, 2020, will also step down from the Board.
Sidney, who continues as Head of Finance for BAT Sub-Saharan Africa Area, brought valuable experience from his previous roles within the BAT Group, including serving as the former Finance Director of the Company, Head of Finance for BAT's Southern Africa Markets, and Head of Finance for BAT Egypt.
"The Board thanks Sidney for his invaluable contribution and wishes him well in his future endeavours," said BAT Kenya.
These board changes come on the heels of an investigative report by the University of Bath's Tobacco Control Research Group, in collaboration with The Investigative Desk and Tax Justice Network Africa, which alleges a potential $28 million (Sh3.62 billion) tax discrepancy for fiscal years 2017 and 2018.
The Kenya Revenue Authority has commented on the report on February 19, 2025z
"KRA takes these allegations seriously and is committed to upholding the integrity of Kenya's tax system. We are currently reviewing the findings of the report and will take appropriate action," the authority said.
The reshuffle follows the company's announcement of a net profit of Sh4.4 billion for the year ended December 2024. As BAT Kenya undergoes this leadership transition, the focus remains on sustaining its transformation agenda while addressing external challenges.
